The following terms and conditions will be deemed to have been accepted by the User on usage of the website ExpeditedStrategies.com. You are requested to read them carefully before you use the services of this site. You agree that by accessing the site, you have read, understood, and agreed to be bound by all of these Terms of Use. If you do not agree with all of these Terms of Use, then using this site is prohibited and usage must be discontinued immediately.

 

Supplemental terms and conditions or documents that may be posted on the site from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Use at any time and for any reason. We will alert you about any changes by updating the “Last Updated” date of these Terms of Use, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Use to stay informed updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms of Use by your continued use of the site after the date such revised Terms of Use are posted.

 

The information provided on the site is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation which would subject Expedited Strategies Inc., to any registration requirement within such jurisdiction or country.  Accordingly, those persons who choose to access the site from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

 

The site is intended for users who are at least 18 years old. Person under the age of 18 are not permitted to use or register for the site.

There may be information on the site that contains typographical errors, inaccuracies, or omissions, including descriptions, pricing, availability, and various other information. We reserve the right to correct any errors, inaccuracies, or omission and to change or update the information on the site at any time, without prior notice.

 

PRIVACY

Expedited Strategies Inc., will not sell, rent, or loan our customer’s names, email addresses or personal information to anyone at any time. This includes automatic order and dispatch confirmation e-mails generated upon receipt of your order and, only if you choose, an occasional e-mail to notify you about special promotions or new services.

 

INTELLECTUAL PROPERTY RIGHTS

 

The service and its original content, features and functionality are and will remain the exclusive property of Expedited Strategies Inc. and its licensors.

 

INDEMNIFICATION

User agrees to indemnify, defend and hold Expedited Strategies Inc., harmless from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, arising out of or relating to any misuse by the User of the content and services provided on the Site.

 

LIMITATIONS OF LIABILITY

 

In no event will Expedited Strategies Inc., be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site, even if Expedited Strategies Inc., have been advised of the possibility of such damages.  Notwithstanding anything to the contrary contained herein, our liability to you for any cause whatsoever and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to Expedited Strategies Inc., during the (1) month period prior to any cause of action arising. Certain state laws do not allow limitations on implied warranties or the exclusion or limitation of certain damages. If these laws apply to you, some or all of the above disclaimers or limitations may not apply and you may have additional rights.

 

PRICES & PAYMENT

 

Any customer that pays for our delivery services understands that once the delivery is ordered that the amount paid is non-refundable as the service has been dispatched. Any cancelation, once an order has been scheduled, is not due a refund, but may be up to the manager’s discretion at 50% of the original paid amount as a “drop fee”. Payment is expected when services are rendered unless otherwise specified. If payment is not made customers will accrue interest on their unpaid invoices at a rate of 3% until payment is received.

 

DELIVERY

 

Expedited Strategies Inc., will use its reasonable efforts to meet the forecasted date of deliver, however the Delivery Date is an estimate only.  By using any delivery services offered you understand that no delivery times will be guaranteed. Expedited Strategies Inc., will not be held responsible for any consequences from any late and missing deliveries. 

 

TERMINATION

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

 

WARRANTIES

We make no warranties - express or implied. Expedited Strategies Inc., is not responsible for any damage to, loss or delay of any shipment of the acts of third parties. If you have any questions or concerns regarding our services, please contact us.

 

DISPUTE RESOLUTION

 

To facilitate resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use brought by either you or Expedited Strategies Inc., the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one Party to the other Party.

 

If the Parties are unable to resolve a dispute through informal negotiations, the dispute will be finally and exclusively resolved by binding arbitration. In no event shall any dispute brought by either Party related in any way to the site be commenced more than one (1) year after the cause of action arose.

 

FUEL SURCHARGE

We reserve the right to assess fuel and other surcharges on packages/shipments without notice. The duration of any such surcharge will be determined solely at the discretion of Expedited Strategies Inc. We calculate fuel surcharges by comparing AAA National Average with that of the State of Michigan. If the national average is more, the national average will appear as a fuel surcharge. 

 

REFUSAL OR REJECTION OF SHIPMENTS

We reserve the right to refuse, hold or return a shipment for any reason, including the following instances:

• • The package/shipment could cause damage to other packages/shipments, equipment or personnel or is likely to sustain damage or loss of content during transit, as solely determined by Expedited Strategies Inc.

  • The carriage of the package/shipment may be prohibited by law or may violate any of the Terms and Conditions in this Service Guide, as amended from time to time.

  • The acceptance of the package/shipment may jeopardize the provision of service to other customers, as solely determined by Expedited Strategies Inc.

Undeliverable Packages

An "undeliverable" package is one that cannot be delivered for any of the following reasons:

1. The sender cancels a delivery after the driver has been dispatched to the origin address.

2. The package is not ready for pick up at the origin.

3. The sender does not make the package available for the delivery driver upon pick up.

4. The sender cancels delivery upon arrival by the delivery driver.

5. The recipient of a "Hold for Pick-Up" package cannot be located.

6. The recipient's address cannot be located.

7. The package was destined for an out-of-delivery location and cannot be forwarded.

8. The package's content or packaging is damaged to the point where re-wrapping is not possible.

9. The package is unable to clear Customs.

10. The package is likely to cause damage or delay to other packages, equipment or personnel.

11. The package delivery or carriage is prohibited by law, statute, regulation of a country of origin or destination, or a country through which the package may transit.

12. The recipient's place of business is closed.

13. The recipient is not at a delivery location on the initial delivery attempt or reattempts.

14. The package was improperly packaged for blood or diagnostic specimen contents.

15. A refused package can also be a shipment that the recipient does not accept. When feasible, we will contact the sender for instructions on returning or otherwise disposing of the package. If the sender requests a return, shipping will be charged to the sender for the return package subject to the specified service type. Packages refused (not related to service failure) as a result of being damaged, failure of the recipient to accept shipping charges, and so forth, may be returned to sender, as the sender chooses.

16. If a recipient refuses delivery, it immediately becomes "undeliverable". 

17. If a package cannot be delivered or returned, the package may be transferred or disposed of by Expedited Strategies Inc., at its sole discretion - with or without notice - and the shipper (if known) agrees to pay any costs incurred in the disposal (if any).

HIPAA COMPLIANCE

 

Client is either a “Business Associate” of one or more Covered Entities or is a “Covered Entity” and is required to comply with the Health Insurance Portability and Accountability Act of 1996 (“HIPAA”) and its privacy and security standards, as amended by the Health Information Technology for Economic and Clinical Health Act (Title XIII of the American Recovery and Reinvestment Act of 2009) and its implementing regulations (“HITECH”) including modifications to the HIPAA privacy, security, enforcement and breach notification rules under HITECH. Expedited Strategies Inc., hereby agrees that it will maintain the confidentiality of any Protected Health Information disclosed by client or Expedited Strategies Inc., in compliance with the terms of HIPAA and HITECH. Pursuant to these obligations Client and Expedited Strategies Inc., agree to separately enter into the applicable Client Business Associate Agreement found at: https://www.expeditedstrategies.com/business-associate-agreement/.
